Introduction
These Terms of Service ("Terms") govern access to and use of the website, services, and AI-powered lead engagement tools (the "Services") provided by Deusverb Solutions Ltd ("we", "us", "our"), a company registered in England and Wales under company number 17446360, with a registered office at Bartle House, 9 Oxford Court, Manchester, M2 3WQ.
By engaging our Services, accessing our website, or signing a proposal or agreement referencing these Terms, you ("Client", "you") agree to be bound by them. If you do not agree, do not use the Services.

Description of Services
Deusverb Solutions provides AI-powered automation tools designed to help businesses engage, qualify, and follow up with leads and customers, including but not limited to:
Database Reactivation — AI-driven outreach to re-engage dormant or previously acquired leads.
Speed to Lead Response — automated, near-instant response to new inbound leads.
Out of Hours Engagement — automated qualification and appointment booking outside standard business hours.
Review Response Automation — AI-generated responses to customer reviews on connected platforms.
The exact scope, channels (SMS, WhatsApp, email, etc.), and configuration of Services provided to a given Client will be set out in a separate order form, proposal, or statement of work ("Order"), which forms part of the agreement between us alongside these Terms.
3
Client Responsibilities
You agree that you will:
Provide accurate, lawfully obtained contact data for any leads or customers you ask us to engage on your behalf.
Have a valid legal basis under UK GDPR and PECR to contact the individuals in any list you provide, including appropriate consent or a legitimate interest assessment where required.
Not instruct us to send content that is unlawful, misleading, discriminatory, or in breach of advertising standards (including the ASA/CAP Code).
Promptly notify us of any opt-out, complaint, or data subject request relating to messaging carried out on your behalf.
Provide timely access to any systems, accounts, or information reasonably required for us to deliver the Services.
You remain the data controller for the contact data you provide, and are responsible for ensuring you have the right to use it for the purposes instructed. We act as a data processor in relation to that data, as set out in Section 6.
4
Fees and Payment
Deusverb Solutions operates primarily on a performance basis: in most engagements, fees are tied to the outcomes our Services generate for your business, as defined in the applicable Order.
Fees, billing frequency, and the specific performance criteria for a given engagement will be set out in the applicable Order.
In certain circumstances — for example, where an engagement requires bespoke setup, integration work, or third-party costs before any performance-based outcome can be generated — we may require an upfront payment to cover operational costs. Where this applies, it will be clearly stated in your Order before work begins.
Invoices are due within 14 days of issue unless otherwise agreed in writing.
We reserve the right to suspend Services for non-payment following reasonable written notice.
5
Term, Cancellation & No Lock-In
Unless otherwise stated in your Order:
Services are provided on a rolling basis with no long-term minimum commitment beyond an initial 30-day setup period.
Either party may terminate the agreement with 30 days' written notice.
We reserve the right to suspend or terminate Services immediately for a breach of Section 3 that creates legal or compliance risk.
6
Data Protection
We process personal data in accordance with the UK GDPR, the Data Protection Act 2018, and PECR.
Where we process personal data on your behalf, we do so as a data processor acting on your documented instructions, in accordance with a Data Processing Agreement incorporated by reference into this agreement and available on request.
We implement appropriate technical and organisational measures, including access controls and encryption in transit. Personal data processed on your behalf is retained for the duration of the engagement and for up to 6 years afterwards where required for legal, accounting, or tax purposes, after which it is securely deleted.
Opt-out and unsubscribe requests are actioned promptly and the contact suppressed from further outreach.
We do not sell personal data to third parties.
A current list of sub-processors used to deliver the Services is available on request by emailing [email protected].
7
Intellectual Property
We retain ownership of all software, models, templates, workflows, and underlying technology used to deliver the Services.
You retain ownership of your own brand assets, customer data, and any content you provide.
You grant us a limited licence to use your brand name, logo, and messaging guidelines solely to deliver the Services during the term of our agreement.
8
Service Availability & AI Limitations
The Services rely on third-party infrastructure and we cannot guarantee uninterrupted availability.
AI-generated responses are produced automatically; while workflows are designed and tested carefully, we cannot guarantee every response will be free of error, and recommend human oversight for high-stakes or regulated communications.
We are not liable for outcomes resulting from inaccurate, incomplete, or unlawfully obtained data supplied by the Client.
9
Limitation of Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.
Subject to the above, our total liability in any 12-month period is limited to the total fees paid by you to us in that period.
We are not liable for indirect or consequential losses, including loss of profit, loss of business opportunity, or reputational damage.
10
Confidentiality
Each party agrees to keep confidential any non-public business, technical, or customer information disclosed by the other party in connection with the Services, and to use it only for the purposes of the engagement.
11
Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, unless the parties agree in writing to an alternative dispute resolution process.
12
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients by email or through the applicable Order renewal process. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
